The Deal
In June 2024, Amazon hired most of Adept AI team including co-founder David Luan, while licensing Adept technology. The deal was structured similarly to Microsoft-Inflection and Google-Character.AI: a licensing agreement plus talent absorption rather than a traditional acquisition. Total consideration was approximately $500M.
Strategic Rationale
Adept specialized in AI agents that can use computer interfaces autonomously, exactly the capability Amazon wanted for AWS developer tools and Alexa. Rather than competing with Adept or building from scratch, Amazon absorbed the team that had the most advanced agent technology.
Impact
The deal completed the trifecta of major AI acqui-hires in 2024 (alongside Microsoft-Inflection and Google-Character.AI). It demonstrated that the most valuable AI companies were being dismantled for their talent rather than acquired whole, as regulators made traditional acquisitions increasingly difficult.
What Happened After
The Adept team joined Amazon AWS AI division, working on agent capabilities for Amazon Bedrock and internal tools. Their computer-use AI technology influenced Amazon approach to AI assistants. Adept AI itself continued as a shell company with remaining investors receiving the licensing payment.
